Terms of Service
TeamStride — Solidini
Version 1.0
Effective date: 7 October 2026
Solidini, established in the Netherlands, Chamber of Commerce (KvK) number 97133981, with its registered address and VAT number as stated in the Legal notice on teamstride.app, provides TeamStride. These Terms of Service set out the rules for the use of TeamStride by sports clubs and other organisations.

Article 2. Scope and acceptance
2.1 These Terms apply to every offer by Solidini, to the Agreement and to every use of the Service by the Customer and its Authorised Users.
2.2 Solidini expressly rejects the applicability of the Customer's own general terms and conditions, purchase conditions or other terms, whatever their name.
2.3 The Owner accepts these Terms on behalf of the Customer when the Owner creates the Organisation. The Agreement is concluded at that moment.
2.4 The Owner warrants that the Owner has the authority to bind the Customer. If the Owner does not have this authority, the Owner is liable to Solidini as Article 3:70 of the Dutch Civil Code (BW) provides.
2.5 The Service is offered only to organisations. The Customer declares that it acts for its organisational purposes and not as a consumer. Rules that protect consumers do not apply to the Agreement. Solidini may end the Agreement with immediate effect if this declaration proves incorrect.
2.6 Solidini makes these Terms available electronically before or at the conclusion of the Agreement, in a way that the Customer can store and access for future reference. The Terms are at teamstride.app and can be downloaded and printed. On request to legal@getteamstride.com, Solidini sends a copy by email free of charge.
2.7 An Authorised User who is not the Owner accepts these Terms when the Authorised User accepts an invitation. The Authorised User acts on behalf of the Customer and must follow these Terms.
Article 3. Accounts and Authorised Users
3.1 Only natural persons aged 16 or older may have an Account. The Owner must be 18 or older. Players never get an Account. The Customer must not invite a person who is younger than 16.
3.2 One Account is for one person. An Authorised User must not share an Account, a sign-in link or a session with another person.
3.3 Authorised Users sign in with a link that the Service sends to their email address. Whoever controls the mailbox controls the Account. Each Authorised User must keep the mailbox secure, must not forward a sign-in link, and must sign out on shared devices.
3.4 The Customer must tell Solidini at once by email to support@getteamstride.com if it suspects that an Account or mailbox is used without authorisation.
3.5 The Customer is responsible for all acts and omissions of its Authorised Users and of every person who uses an Account of the Customer, as if they were acts and omissions of the Customer itself. This does not apply to use of an Account that results from a failure of Solidini's security.
3.6 The Owner, and a Coordinator to the extent the Service allows this, manages invitations, roles and access to Teams. The Customer must remove access of a person who no longer acts for the Customer without delay.
3.7 The Owner may transfer the Owner role to another Authorised User in the Organisation. The new Owner must have the authority to bind the Customer and gives the warranty in Article 2.4. If the Owner is no longer available, the Customer may ask Solidini at legal@getteamstride.com to transfer the Owner role. Solidini may ask for reasonable proof of authority, for example an extract from the Chamber of Commerce register or a statement of the board, before it makes the transfer.
3.8 The Customer must keep the email address of the Owner and the billing details up to date.
Article 4. The Service and its nature
4.1 The Service helps coaches to write season plans, weekly plans and training sessions for team sports. It uses the Solidini Content and a large language model (artificial intelligence, "AI").
4.2 Output is generated by AI. It can be wrong, incomplete, outdated or unsuitable for the actual group, field, weather, equipment or individual Player. Solidini does not guarantee that Output is correct, complete, safe or suitable for any purpose.
4.3 Output is a suggestion for a competent coach. It is not an instruction. The Customer and its Authorised Users decide whether and how they use Output.
4.4 The Service applies safety limits per age group when it selects and combines drills. These limits are a filter. They are not a guarantee that a training is safe.
4.5 Solidini may change, improve, add or remove functions of the Service, the Solidini Content and the AI models it uses. A new sub-processor, including a new AI provider, follows clause 11 of the DPA. If a change removes an essential function of the Customer's Tier, Solidini informs the Owner by email at least 30 days in advance, and the Customer may end its Subscription before the change takes effect, with a refund of the prepaid Fees for the remaining part of the Period.
4.6 Solidini may offer Beta Functions. Beta Functions are provided as they are, without any commitment on availability or performance. Solidini may change or stop them at any time without notice. Article 4.5 does not apply to them.
Article 5. Safety and responsibility
In short: TeamStride writes suggestions. A competent coach decides on the field. The Customer arranges the supervision of its trainings. The Customer and its coaches are responsible for the safety of the Players, not Solidini.
5.1 The Customer is responsible for the supervision of every training in which Output is used. Every training must be prepared and run by a competent coach, who is present and decides on the spot whether each exercise is safe for these Players today. If that coach is younger than 18, the Customer decides which supervision by an adult aged 18 or older is necessary, and arranges it. The Customer ensures that this is the case for every training in which Output is used.
5.2 The coach must check every exercise before and during the training. The coach checks the exercise against the age, fitness, health and number of the Players present, the field or hall, the weather, and the equipment. The coach adapts or skips any exercise that is not safe for these Players on that day.
5.3 TeamStride does not give medical advice. The Service is not a medical device. It does not diagnose, treat, or prescribe recovery, rehabilitation or return to play. When the Service suggests that a Player sits out part of a training or does a substitute exercise, this only removes or replaces load within the team session. It is not treatment.
5.4 If a Player is injured, ill or in pain, refer the Player to a physiotherapist or a doctor. Do not use the Service to decide whether a Player can train again.
5.5 In an emergency, call the emergency services at once (112 in the European Union). Do not use the Service in an emergency.
5.6 The Customer is responsible for compliance with the rules of its sports federation and with the law that applies to its activities. This includes rules on competition, equipment, age categories, insurance, first aid, supervision and safeguarding, such as a certificate of conduct (in the Netherlands: Verklaring Omtrent het Gedrag, VOG) for persons who work with minors. Solidini does not check these matters.
5.7 The Customer and its coaches, and not Solidini, are responsible for the safety of the Players during trainings, matches and all other activities in which Output is used.
5.8 The Customer must make sure that every Authorised User has read this Article 5 before the Authorised User uses Output with Players.
5.9 The Customer indemnifies Solidini against claims of third parties, including Players, parents, guardians, insurers and federations, that arise from the way the Customer or its Authorised Users prepared, ran or supervised a training or other activity. This includes the decision to use, adapt or skip an exercise from Output. This indemnity covers the reasonable costs of legal defence. It does not apply to the extent that the damage is caused by intent or deliberate recklessness (opzet of bewuste roekeloosheid) of Solidini or its management. Article 15.9 applies.
Article 6. No player personal data
In short: TeamStride never needs to know who your Players are. Describe your team as a group. Never type a Player's name or anything about anyone's health.
6.1 Solidini will never ask for Player Data. The Service works with data about the Team as a group: team name, sport, age category, number of Players, skill level, training slots, fixtures and goals.
6.2 Authorised Users must never enter Player Data in the Service. This applies to every field, including the assistant conversation, the weekly check-in, team memory, Own Drills, feedback and Team names. Examples of what must not be entered: names, nicknames, initials, birth dates, photos, contact details, and any other detail from which a reader can identify a Player.
6.3 Authorised Users must never enter Special-Category Data of any person, Player or not. This includes injuries, illnesses, medical conditions and other health data.
6.4 Describe the Team as a group. A coach can record what a number of Players cannot do in a session: the number and the restriction, never who and never why. For example, "2 players: no jumping" is allowed. This is not Player Data as long as no Player can be identified from it. Not allowed: a name or any other detail that points to one Player, such as "Emma: no jumping" or "the goalkeeper: no jumping", and any reason, such as "sprained ankle".
6.5 If Solidini support, an email or any other message that seems to come from Solidini ever asks for Prohibited Data, do not send it. Report the request at once to privacy@getteamstride.com.
6.6 If Prohibited Data is entered in the Service:
(a) this is a breach of the Agreement by the Customer;
(b) the Customer is responsible for that data as controller under the General Data Protection Regulation (GDPR);
(c) Solidini may delete or make unreadable that data, or the item that contains it if the data cannot be separated, without prior notice and without liability. Solidini informs the Owner by email after it has done so; and
(d) the Customer indemnifies Solidini in accordance with Article 15.8.
6.7 Solidini has no obligation to monitor Customer Data for Prohibited Data. A failure by Solidini to detect or delete such data does not reduce the Customer's responsibility.
Article 7. Acceptable use
7.1 The Customer and its Authorised Users must use the Service only for the preparation of trainings and the coaching of the Customer's own Teams, in accordance with the Agreement, the Documentation and the law.
7.2 The Customer and its Authorised Users must not:
(a) enter, store or share content that is unlawful, discriminatory, threatening, defamatory, sexually explicit, or that infringes the rights of others;
(b) use the Service, or try to make the AI produce content, that can cause harm to persons, including exercises that are dangerous on purpose, content that sexualises minors, or content that harasses or discriminates;
(c) scrape, crawl, copy in bulk, or extract the Solidini Content or Output by automated means;
(d) reverse engineer, decompile, disassemble or otherwise try to obtain the source code, models, prompts or underlying structure of the Service, except to the extent mandatory law permits this;
(e) circumvent or try to circumvent usage limits, team limits, Tier restrictions, Read-only state, access controls or safety limits;
(f) test, scan or probe the security of the Service without Solidini's prior written consent;
(g) upload or send viruses, malware or other harmful code, or place an unreasonable load on the Service;
(h) resell, sublicense, rent or otherwise make the Service available to third parties, or use it for organisations other than the Customer;
(i) share Accounts or sign-in links, or create Accounts by false or automated means;
(j) use the Solidini Content or Output to build, train or improve a competing drill library, training planner or AI model; or
(k) use the Service in breach of Article 5 or Article 6.
7.3 The Customer must comply with reasonable instructions from Solidini on the use of the Service.
Article 8. Customer Data, Output and intellectual property
8.1 The Customer keeps all rights it has in its Customer Data. Solidini does not acquire ownership of Customer Data.
8.2 The Customer grants Solidini a non-exclusive, worldwide, royalty-free licence to store, copy, process and display Customer Data only to the extent necessary to provide, secure and support the Service and to perform the Agreement. This licence ends when the Customer Data is deleted under Article 13.10.
8.3 The Customer may use Output for its own coaching activities without restriction, also after the Agreement ends. This includes printing, sharing with its own coaches, Players and parents, and adapting it. Article 7.2(j) still applies.
8.4 Solidini and its licensors keep all intellectual property rights in the Service, the software, the Solidini Content, the design, the diagrams and the Documentation. This includes copyright and the database right (Databankenwet) in the drill library and the coaching principles. The Customer receives only the rights of use that the Agreement expressly grants, for the duration of the Agreement. The licence in Article 8.3 is the exception: it continues after the Agreement ends. To the extent Output contains Solidini Content, Article 8.3 is a licence and not a transfer of rights.
8.5 Output is generated for each request. Output for the Customer can be the same as, or similar to, Output that the Service generates for other customers. The Customer does not acquire exclusive rights in Output.
8.6 Own Drills are visible only within the Team or the Organisation of the Customer, as the Service shows. Solidini does not show Own Drills to other customers, except under Article 8.7.
8.7 An Authorised User may tick the option "TeamStride may use the ideas" for an Own Drill. By doing so, the Customer grants Solidini a non-exclusive, worldwide, royalty-free, perpetual licence to use, adapt and include the ideas of that Own Drill in the Solidini Content, without the name of the Authorised User or the Customer. The Authorised User or the Customer may revoke this permission at any time in the Service. Revocation applies to future use. Content that Solidini already adapted and included in the Solidini Content before the revocation may remain.
8.8 Solidini does not use Customer Data to train AI models. Solidini also contractually prohibits its AI providers from using Customer Data to train their models.
8.9 Solidini may create and use aggregated statistics on the use of the Service that do not identify the Customer, an Authorised User or any other person. Solidini uses them to operate, improve and develop the Service. Solidini owns these statistics.
8.10 If the Customer or an Authorised User gives Solidini suggestions or feedback about the Service, Solidini may use them freely and without payment. This does not apply to Customer Data, which remains subject to this Article 8 and to the DPA.
Article 9. Data protection
9.1 Solidini processes personal data in Customer Data as processor on behalf of the Customer. The DPA governs this processing. The DPA forms part of the Agreement. The Customer accepts the DPA when it accepts these Terms.
9.2 The Customer is the controller of the personal data in Customer Data. The Customer ensures that it has a lawful basis for this processing and that it informs its Authorised Users about the processing, including by referring them to the Privacy Statement.
9.3 Solidini is controller, and not processor, for the following processing: (a) account administration for sign-in, security, fraud and abuse prevention; (b) the internal access log of reads by Solidini staff; (c) billing, invoicing and tax records; (d) website analytics and the contact form; (e) sales contact with clubs; (f) reading post-session drill feedback to improve the drill library; (g) the consent record under Article 8.7; and (h) product improvement based on aggregated, de-identified usage statistics under Article 8.9. The Privacy Statement describes this processing. For (a), (b), (f) and (h), Solidini uses parts of the Customer Data. The Customer agrees to this use, for these purposes only.
9.4 Solidini uses sub-processors for hosting, database, AI, email and logging. The DPA lists them and sets out how Solidini informs the Customer of changes and how the Customer may object. Stripe processes payment data as an independent controller and is not a sub-processor.
9.5 Questions and requests about personal data go to privacy@getteamstride.com.
Article 10. Fees, Trial, billing, renewal and cancellation
Tiers and prices
10.1 The Service is available in the following Tiers:
| Tier | Teams | Authorised Users | Monthly | Yearly |
|---|---|---|---|---|
| Team | 1 | 1 | €9.50 | €95 |
| Club | 5 included | no limit | €39 | €390 |
| Each Team above 5 (Club only) | €6 | €60 |
10.2 The prices in Article 10.1 include VAT. Where the reverse-charge mechanism applies, because the Customer is established in another member state of the European Union and has a valid VAT number, the same amount is payable. The invoice then shows no VAT, and the Customer accounts for VAT itself. The Customer warrants that the VAT number it provides is valid and correct.
10.3 The price in force on the website or in the Service at the time of the order or renewal applies, subject to Article 10.17.
Trial
10.4 A new Organisation receives a Trial of 30 days free of charge. The Trial does not require payment details.
10.5 Solidini charges nothing unless the Owner explicitly orders a Subscription in the Service. If the Trial ends without an order, the Organisation becomes Read-only.
10.6 Organisations created before billing went live in the Service may use the Service free of charge until 31 August 2027. After that date, Article 10.5 applies as if their Trial ended on that date.
Monthly billing
10.7 A monthly Subscription starts on the day of the first payment and renews each month on that day.
10.8 The Owner may cancel a monthly Subscription at any time. The cancellation takes effect at the end of the paid month. Solidini gives no refund for a month that has started.
Yearly billing
10.9 Yearly Periods end on 31 August and renew on 1 September.
10.10 The first yearly Period runs from the first payment until the next 31 August. Solidini charges the yearly price pro rata for that time, with a minimum of one month's price of the Tier.
10.11 If the Trial ends between 1 June and 31 August and the Owner chooses yearly billing, the Service is free of charge until 1 September. The first yearly Period then starts on 1 September.
10.12 Solidini sends the Owner a reminder by email 30 days and 7 days before each yearly renewal.
10.13 The Owner may cancel a yearly Subscription at any time with effect from the end of the Period. Within 14 days after the first payment of a yearly Subscription, or after a yearly renewal payment, the Owner may cancel and receive the full amount of that payment back. The Subscription then ends at once and the Organisation becomes Read-only. After these 14 days, Solidini gives no refund, except where these Terms expressly say so.
Changing Tier or billing
10.14 The Owner may change from monthly to yearly billing at any time. Solidini credits the unused part of the paid month against the yearly Fees. A change from yearly to monthly billing takes effect only on 1 September.
10.15 A change from Team to Club takes effect at once. Solidini charges the difference pro rata for the rest of the Period. A change from Club to Team is possible only when the Organisation has one Team and one Authorised User; the lower price applies from the next Period, without a refund.
10.16 Teams above the five included in Club are paid in advance. Before a new Team is added above the number paid for, the Owner buys one more Team in the Service, and Solidini charges it at once, pro rata for the rest of the Period. Until then the Owner cannot add the Team. Existing Teams and data are not affected. The Owner may stop paying for Teams that are no longer used; the lower amount applies from the next invoice, without a refund.
Price changes
10.17 Solidini may change its prices. A price change takes effect only from the next 1 September. Solidini announces the change to the Owner by email at least 60 days before it takes effect. The Customer may cancel its Subscription before the change takes effect. If the Customer does not cancel, the new price applies from the first renewal on or after the effective date.
Payment
10.18 Payment is made through Stripe, Solidini's payment provider, by card, SEPA direct debit, iDEAL or Bancontact. For yearly billing, the Customer may also pay by bank transfer against an invoice, within 30 days after the invoice date. Stripe holds the payment details. The Customer authorises Solidini, through Stripe, to collect the Fees on each due date.
10.19 Solidini issues invoices electronically and makes them available in the Service or by email. The Customer accepts electronic invoices.
Non-payment and Read-only
10.20 If the Customer does not pay on the due date, Solidini sends reminders 14 days and 30 days after the due date. If the Customer has not paid 45 days after the due date, the Organisation becomes Read-only.
10.21 When the Customer pays the amount due, the Read-only state ends at once.
10.22 Solidini keeps the Customer Data of a Read-only Organisation for 12 months. Solidini sends the Owner an email 30 days before it deletes the data. Articles 13.9 and 13.10 apply.
10.23 Solidini may claim statutory commercial interest under Article 6:119a BW on amounts that are still unpaid after the date the Organisation became Read-only.
10.24 The Customer may not set off amounts it owes to Solidini against any claim it has on Solidini, and may not suspend its payment obligations, except to the extent mandatory law permits this.
Article 11. Availability and support
11.1 Solidini makes reasonable efforts to keep the Service available and working. Solidini gives no service level and does not guarantee that the Service is available at all times, without interruptions, or free of errors.
11.2 Solidini may interrupt the Service for maintenance, updates and security measures. Solidini tries to do planned maintenance at times of low use and, where reasonably possible, informs the Customer in advance.
11.3 Solidini provides support by email at support@getteamstride.com, on working days, within a reasonable time. Support is in English or Dutch, and where possible in French or German.
11.4 Solidini makes backups for disaster recovery only. Backups are kept for up to 7 days on a rolling basis. Backups are not an archive for the Customer. Solidini does not restore individual items on request. The Customer keeps its own copies of Output it wants to keep, for example by printing it or by requesting an export under Article 13.9.
Article 12. Suspension
12.1 Solidini may suspend access to the Service, for the whole Organisation or for one or more Accounts, with immediate effect and without liability, if:
(a) this is necessary to prevent or stop a security incident or a threat to the Service, to other customers, or to third parties;
(b) the Customer or an Authorised User breaches Article 5, Article 6 or Article 7; or
(c) Solidini must do so by law or by an order of a competent authority.
12.2 Solidini limits a suspension to what is reasonably necessary. Where possible, Solidini informs the Owner in advance, and otherwise without undue delay, with the reason.
12.3 Solidini ends the suspension when the reason no longer exists. A suspension under Article 12.1(b) does not end the obligation to pay Fees.
12.4 Late payment does not lead to suspension. Article 10.20 sets out its consequences.
Article 13. Term and termination
13.1 The Agreement starts when the Owner accepts these Terms. It runs for the Trial and then for each Subscription, which renews per Period until cancelled under Article 10. The Agreement continues while the Organisation is Read-only. It ends when the Customer Data is deleted under Article 13.10.
13.2 The Owner may close the Organisation at any time, in the Service or by email to support@getteamstride.com. Closure deletes all Customer Data at once and cannot be undone. Closure does not give a right to a refund, except under Article 10.13.
13.3 Before closure, the Service warns the Owner that closure deletes all Customer Data at once. The Owner should first request an export under Article 13.9 and close the Organisation only after receiving it.
13.4 Either party may terminate the Agreement in writing if the other party materially breaches the Agreement and does not cure the breach within 30 days after a written notice that describes the breach. If the breach cannot be cured, termination may take effect at once.
13.5 Either party may terminate the Agreement in writing with immediate effect if the other party is declared bankrupt, applies for or is granted a suspension of payments (surseance van betaling), is dissolved, or ceases its business.
13.6 Solidini may terminate the Agreement with immediate effect in case of a serious or repeated breach of Article 5, Article 6 or Article 7. The Customer may also terminate the Agreement under clause 11.8 of the DPA, after an objection to a new sub-processor.
13.7 Solidini may stop the Service, in whole or for a Tier, with at least 3 months' notice by email to the Owner. Solidini then refunds the prepaid Fees for the part of the Period after the end date, pro rata.
13.8 When a Subscription is cancelled, or a party terminates the Agreement, the Organisation becomes Read-only at the end of the paid Period, or at once if no Period is running. During the Read-only state, Authorised Users can read and print their plans. The Agreement then continues only for the Read-only state, the export under Article 13.9 and the deletion under Article 13.10.
13.9 During the Agreement, including the Read-only state, the Owner may request an export of the Customer Data by email to support@getteamstride.com. Solidini delivers the export in a machine-readable format (JSON or CSV) within 10 Working Days after the request, free of charge.
13.10 Solidini deletes the Customer Data:
(a) at once, when the Owner closes the Organisation; or
(b) 12 months after the Organisation became Read-only, after an email to the Owner 30 days in advance.
Deleted data disappears from the backups when the backups roll over, within 7 days. Solidini keeps invoices and billing records for 7 years, as Dutch tax law requires (Article 52 of the General State Taxes Act, AWR). Clause 15 of the DPA sets out the details of deletion.
13.11 Articles that by their nature continue after the end of the Agreement remain in force. These include Articles 5.9, 6.6, 8.3, 8.4, 8.7, 8.9, 10.23, 10.24, 15, 17 and 19.
Article 14. Warranties and disclaimers
14.1 Solidini warrants that it provides the Service with reasonable care and skill, and that it has the right to grant the rights of use in Article 8.
14.2 The Customer warrants that:
(a) it is an organisation that acts for its organisational purposes;
(b) the Owner has authority to bind it;
(c) every Authorised User is 16 or older, and the Owner is 18 or older;
(d) it has the rights and the lawful basis to enter Customer Data in the Service; and
(e) Customer Data does not contain Prohibited Data.
14.3 Except as expressly stated in the Agreement, Solidini provides the Service, the Solidini Content and Output as they are and as available. To the extent the law permits, Solidini excludes all other warranties, express or implied, including warranties of fitness for a particular purpose, accuracy, completeness and non-infringement of Output.
14.4 Solidini does not warrant that Output complies with the rules of any sports federation, with the law of any country, or with the needs of any specific Player or group.
Article 15. Liability
15.1 Solidini's total liability under or in connection with the Agreement, whether in contract, tort or on any other ground, is limited per calendar year to the amount of the Fees that the Customer paid to Solidini in the 12 months before the event that caused the damage. This amount is at least €100. A series of connected events counts as one event.
15.2 Solidini is not liable for:
(a) indirect or consequential damage, including lost profit, lost revenue, lost savings, lost subsidies, damage to reputation, and business interruption;
(b) loss of or damage to data, except for the reasonable costs of restoring data from the latest available backup under Article 11.4;
(c) damage that results from the use of Output, or from a decision to use or not to use Output;
(d) bodily injury, death or damage to property that occurs during or in connection with a training, match or other activity of the Customer. Solidini does not run these activities. The competent coach in Article 5 decides on the spot whether and how each exercise is done;
(e) damage caused by the failure or outage of a sub-processor, an AI provider, a payment provider, a hosting provider or a telecommunications network, to the extent that the failure is beyond Solidini's reasonable control; and
(f) damage caused by Prohibited Data that was entered in breach of Article 6, or by any other breach of the Agreement by the Customer or its Authorised Users.
15.3 The limitations and exclusions in this Article 15 do not apply to damage caused by intent or deliberate recklessness (opzet of bewuste roekeloosheid) of Solidini or its management. They also do not apply to the extent mandatory law forbids them.
15.4 The limitations and exclusions in this Article 15 also benefit Solidini's directors, employees and the persons Solidini uses to perform the Agreement. They may rely on this Article as a third-party clause (derdenbeding).
15.5 Solidini is liable for an attributable failure in the performance of the Agreement only if the Customer gives Solidini a written notice of default without delay. The notice must describe the failure in as much detail as possible and give Solidini a reasonable period of at least 14 days to remedy the failure. Solidini must still fail after that period. No notice is needed if performance has become permanently impossible.
15.6 A right to compensation exists only if the Customer reports the damage in writing to legal@getteamstride.com as soon as possible after it occurs, and in any case within 12 months after the Customer discovered it or could reasonably have discovered it. After that period, the claim lapses.
15.7 The Customer is liable for its breach of the Agreement in accordance with the law.
15.8 The Customer indemnifies Solidini against claims of third parties, together with the reasonable costs of legal defence, that arise from:
(a) Prohibited Data entered in the Service in breach of Article 6;
(b) unlawful use of the Service, or use in breach of Article 7, by the Customer or its Authorised Users;
(c) Customer Data, including Own Drills, that infringes rights of third parties; and
(d) trainings and other activities, in accordance with Article 5.9.
Administrative fines are not covered by this indemnity. Clause 16 of the DPA governs them.
15.9 The indemnities in Articles 5.9 and 15.8 apply on the following conditions. Solidini informs the Customer of the claim without undue delay. The Customer may conduct the defence in consultation with Solidini. Solidini gives reasonable co-operation at the Customer's cost. Solidini does not admit liability or settle without the Customer's consent, which the Customer does not refuse without good reason.
Article 16. Force majeure
16.1 Neither party is liable for a failure to perform an obligation, other than a payment obligation, if the failure is caused by force majeure.
16.2 Force majeure includes, in addition to its meaning in Article 6:75 BW: failures or outages of sub-processors, AI providers, hosting, database, email and payment providers; failures of the internet, electricity or telecommunications networks; denial-of-service attacks and other cyber attacks that Solidini could not reasonably prevent; fire, flood and other natural events; epidemics and pandemics; war, terrorism and riots; strikes; and measures of a government or authority.
16.3 The party that invokes force majeure informs the other party as soon as possible and takes reasonable steps to limit the consequences.
16.4 If force majeure lasts longer than 60 days, either party may terminate the Agreement in writing with immediate effect. Solidini then refunds the prepaid Fees for the part of the Period after the termination date, pro rata. No other compensation is due.
Article 17. Confidentiality
17.1 Each party keeps confidential all information it receives from the other party that is marked as confidential or that it should reasonably understand to be confidential. For Solidini, this includes Customer Data. For the Customer, this includes non-public information about the Service, its prompts, its pricing under an Order, and its security.
17.2 A party uses confidential information only to perform the Agreement. A party discloses it only to its employees, volunteers, advisers and sub-processors who need it for that purpose and who are bound by a similar duty of confidentiality.
17.3 This duty does not apply to information that is or becomes public without breach of this Article, that the receiving party already had or developed independently, or that it lawfully received from a third party without a duty of confidentiality.
17.4 A party may disclose confidential information if the law, a court or a competent authority requires this. Where permitted, it informs the other party in advance.
17.5 This duty continues for 3 years after the end of the Agreement. For Customer Data, the DPA applies.
Article 18. Changes to these Terms
18.1 Solidini may change these Terms. Solidini sends the Owner the changed Terms, or a clear description of the changes, by email at least 30 days before they take effect. Solidini also publishes the changed Terms on teamstride.app.
18.2 If a change is material and adverse to the Customer, the Customer may terminate the Agreement in writing before the change takes effect. Solidini then refunds the prepaid Fees for the part of the Period after the termination date, pro rata.
18.3 If the Customer continues to use the Service after the change takes effect, the Customer accepts the changed Terms.
18.4 Solidini may make a change with a shorter notice period if the law or an authority requires the change, or if the change is only to the benefit of the Customer. Article 18.2 still applies.
18.5 A change to the Fees follows Article 10.17 and not this Article 18.
Article 19. Miscellaneous
19.1 Assignment. The Customer may not transfer its rights or obligations under the Agreement without Solidini's prior written consent. Solidini may transfer the Agreement, in whole or in part, to a successor of the business or of the part of the business that provides the Service. The Customer hereby gives its co-operation in advance to such a transfer within the meaning of Article 6:159 BW. Solidini informs the Owner of the transfer by email. The Customer may terminate the Agreement in writing within 30 days after that email. Solidini then refunds the prepaid Fees for the part of the Period after the termination date, pro rata.
19.2 Entire agreement. The Agreement is the entire agreement between the parties about the Service. It replaces all earlier agreements, offers and communications on that subject.
19.3 Order of precedence. If documents conflict, the following order applies, the first prevailing over the later ones: (a) the DPA, for the processing and protection of personal data; (b) an Order; (c) these Terms; (d) the Documentation.
19.4 Severability. If a provision of the Agreement is void or is annulled, the other provisions remain in force. The parties then agree a valid provision that comes as close as possible to the purpose of the original provision. Where possible, the void provision is converted into such a valid provision, in the spirit of Article 3:42 BW.
19.5 Notices. Solidini sends notices to the email address of the Owner. A notice is received when it reaches that address. The Customer sends notices to legal@getteamstride.com. Where these Terms require "in writing", email meets that requirement.
19.6 No waiver. If a party does not exercise a right, or exercises it late, this is not a waiver of that right.
19.7 Evidence. Solidini's electronic records, including logs, order confirmations, payment records and the record of acceptance of these Terms, serve as evidence between the parties. The Customer may prove the contrary.
19.8 Language. These Terms are drawn up in English. Translations into Dutch, French and German are for convenience only. If a translation conflicts with the English text, the English text prevails.
19.9 Governing law. Dutch law governs the Agreement and all disputes arising from or in connection with it. The United Nations Convention on Contracts for the International Sale of Goods (CISG) does not apply.
19.10 Competent court. The competent court of the district where Solidini has its registered office has exclusive jurisdiction over all disputes arising from or in connection with the Agreement, unless mandatory law provides otherwise.
